Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Flux Manager ("the Service"), operated by Flux Manager ("we", "us", or "our"), accessible at app.fluxmanager.com. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

Flux Manager is a business automation platform that provides tools for:

  • Expense management and tracking
  • Quotation and invoice creation
  • Task and project management
  • Client and contact management
  • Email integration with Gmail and Outlook for automated business workflows
  • Team collaboration and reporting

2. Accounts and Registration

2.1 Account Creation

  • You must provide accurate and complete information when creating your account
  • You are responsible for maintaining the security of your account credentials
  • You must notify us immediately of any unauthorized use of your account
  • One subscription account may be used by multiple employees within the same organization

2.2 Account Eligibility

  • You must be at least 18 years old to use the Service
  • You must have the legal authority to enter into these Terms on behalf of your organization
  • Use of the Service is restricted to legitimate business purposes only

3. Email Integration (Gmail & Outlook)

By connecting your Gmail or Outlook account to Flux Manager, you explicitly grant Flux Manager permission to access your email data as described below. You may revoke this access at any time.

3.1 What You Authorize

When you connect an email account, you authorize Flux Manager to:

  • Read incoming emails from your connected mailbox
  • Access email subject lines, body text, sender and recipient information, and attachments
  • Mark emails as read after processing
  • Receive real-time notifications of new emails via webhooks (Gmail Pub/Sub, Outlook Graph)
  • Store email content and metadata in your Flux Manager account for business reference
  • Store encrypted OAuth tokens to maintain your connection without requiring re-authentication

3.2 Scope of Email Access

  • Flux Manager accesses email only to provide the features you have enabled
  • Email data is used solely for your business operations within Flux Manager
  • We do not access emails outside the scope of the permissions you have granted
  • For Gmail: we use gmail.readonly and gmail.modify scopes only
  • For Outlook: we use Mail.Read, Mail.ReadWrite, and User.Read permissions only

3.3 Revoking Email Access

  • You may disconnect your email account at any time from Settings → Email Integration → Disconnect
  • Upon disconnection, all stored OAuth tokens are immediately deleted
  • Email syncing stops immediately upon disconnection
  • Previously synced emails may remain in your Flux Manager account until you request deletion
  • You may also revoke access directly from your Google Account settings or Microsoft Account settings

3.4 Google API Limited Use Policy

Flux Manager's use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. Specifically, we do not use Gmail data for advertising, do not transfer Gmail data to third parties except as necessary to provide the Service, and do not use Gmail data to train AI models.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Access email accounts you do not own or have explicit authorization to connect
  • Attempt to reverse engineer, decompile, or extract source code from the Service
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Transmit malware, viruses, or any harmful code
  • Use the Service in a way that could damage, disable, or impair it
  • Use automated tools to scrape or extract data beyond what is provided by the Service's own features
  • Misrepresent your identity or impersonate another person or organization

5. Data Ownership and Intellectual Property

5.1 Your Data

  • All business data you enter into Flux Manager remains your property
  • All email content accessed through integrations remains the property of the respective email account owner
  • We do not claim ownership of any data you or your team enters into the Service
  • You grant us a limited license to store and process your data solely to provide the Service

5.2 Our Intellectual Property

  • The Flux Manager platform, software, design, and branding are owned by us
  • You may not copy, modify, or distribute any part of the Service without our written permission
  • The Flux Manager name, logo, and trademarks may not be used without prior written consent

6. Subscription and Payment

  • Access to Flux Manager requires a paid subscription (pricing available at fluxmanager.com)
  • Subscription fees are billed as agreed at the time of purchase
  • We reserve the right to change pricing with 30 days' advance notice to active subscribers
  • Refunds are handled on a case-by-case basis — contact [email protected]
  • Non-payment may result in suspension or termination of your account

7. Service Availability

  • We strive for high availability but do not guarantee uninterrupted access to the Service
  • We may perform scheduled maintenance with advance notice where possible
  • We are not liable for losses caused by downtime, outages, or data unavailability
  • Email integration features depend on the availability of Google and Microsoft APIs, which are outside our control

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please read it carefully, especially the sections on email data collection and storage.

9. Limitation of Liability

  • The Service is provided "as is" without warranties of any kind, express or implied
  • We are not liable for any indirect, incidental, special, or consequential damages
  • Our total liability to you for any claims arising from the Service shall not exceed the amount you paid us in the three months preceding the claim
  • We are not responsible for any actions taken based on email data processed by the Service

10. Termination

  • You may terminate your account at any time by contacting [email protected]
  • We may suspend or terminate your account for violation of these Terms, non-payment, or fraudulent activity
  • Upon termination, your access to the Service ends immediately
  • All your data will be permanently deleted within 30 days of account termination
  • You may request an earlier deletion by contacting us

11. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices, legal requirements, or new features. We will notify you of material changes via email or in-app notification at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of the jurisdiction in which Flux Manager is registered. Any disputes will be resolved through good-faith negotiation first. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
